LEMA Chat Terms of Service

Please read these Terms of Service ("Terms") carefully before using LEMA Chat (the "Service"). The Service is operated by LEMA Logic Limited, a company incorporated in the Isle of Man (Company No. 137753C), which is also a trading name of Gallagher Innovations, Inc., a corporation formed in Maryland, United States and registered as a foreign entity in the Isle of Man (Company No. 006459F) (together "LEMA Logic", "we", "us" or "our"). These Terms contain important information regarding limitations of our liability.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you do not have our permission to access or use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
1. The Service
LEMA Chat is a multi-user, human-plus-AI collaboration workspace. It provides real-time chat and threading, collaborative canvases and documents, in-conversation widgets (such as polls and interviews), file and image sharing, AI agents that participate in conversations, and "Brains" (curated, versioned knowledge bases distilled from your conversations). The Service is offered on a sovereign, self-hostable basis and is under active development; features, availability, and defaults may change.
The Service may be provided in a hosted form we operate, in an instance operated by or for your organisation, or in a self-hosted deployment. Where your organisation operates or self-hosts the deployment, your organisation is responsible for its administration, its members, and the data it holds, and acts as the data controller for member and content data it processes.
2. Accounts and eligibility
When you create or are invited to an account, you confirm that you are 18 years of age or older and that the information you provide is accurate, complete, and current. Access is normally granted through a workspace invitation and, where enabled, through Google sign-in.
You are responsible for maintaining the confidentiality of your account and credentials and for all activity that occurs under your account. You must notify us or your workspace administrator immediately upon becoming aware of any breach of security or unauthorised use of your account. We, or your workspace administrator, may suspend or terminate an account at our or their discretion, including where these Terms are breached.
3. Your content
"Your Content" means the messages, documents, canvases, files, images, Brain contributions, interview material, and other content you submit to the Service. As between you and us, you (or your organisation) retain all ownership rights in Your Content. We do not claim ownership of Your Content.
You grant us, and the sub-processors that operate the Service on our behalf, the limited rights necessary to host, store, transmit, display, and process Your Content for the purpose of providing and improving the Service to you, including routing content to AI providers so that agents can respond (see Section 5). This licence ends when Your Content is deleted from the Service, subject to the retention and technical constraints described in our Privacy Policy.
You are responsible for ensuring that Your Content, and your use of the Service, does not infringe the rights of others or violate any applicable law, and that you have the right and any necessary consents to submit it, including where it contains personal data about other people (for example, individuals named in a conversation or the subject of an interview).
4. Acceptable use
You agree to use the Service lawfully and in accordance with these Terms. The following is a non-exhaustive list of prohibited uses. You agree that you will not:
- Submit content that harasses, abuses, defames, or threatens others, or that is discriminatory, pornographic, or otherwise unlawful;
- Submit content that exploits or endangers minors;
- Upload content that infringes the intellectual property, privacy, or other rights of any person;
- Share another person's personal or confidential information without a lawful basis or their consent;
- Impersonate LEMA Logic, its staff, or any other person or entity, or misrepresent your affiliation;
- Attempt to gain unauthorised access to, interfere with, damage, or disrupt the Service, its infrastructure, or other users' accounts or data;
- Introduce viruses, malware, or any code designed to interfere with the proper working of the Service;
- Use robots, scrapers, or other automated means to access the Service other than as we expressly permit, or attempt to overburden or carry out a denial-of-service attack against the Service;
- Use the Service to send spam or unsolicited advertising, or in any way that violates applicable laws or regulations.
We may remove content or suspend access where we reasonably believe these Terms have been breached.
5. AI agents and third-party processing
A defining feature of the Service is that AI agents participate in conversations and that content can be turned into curated knowledge. To make this work, content you submit (including messages, Brain content, prompts, image prompts, and text extracted from uploaded files) may be sent to third-party AI providers for inference, embedding, and image generation. These providers are listed as sub-processors in our Privacy Policy and include, depending on configuration, OpenAI, Amazon Web Services (AWS Bedrock, EU region), and Anthropic, and may include a provider you or your workspace connect using your own API key ("bring your own key").
Where your deployment enables browser dictation in the composer, the audio of your dictated speech is sent by your browser to the browser's speech-recognition provider (for example, Google) to convert it to text. AI output can be inaccurate or incomplete; you are responsible for reviewing agent output before relying on it, and agent output does not constitute professional, legal, financial, or other regulated advice.
Our target configuration processes AI inference through the AWS Bedrock EU region on a zero-data-retention basis. The current default and the exact providers in use depend on how your deployment is configured; the operative sub-processor list is maintained in the Privacy Policy.
6. Availability, errors, and changes
The Service is under active development and is provided on an evolving basis. We do not warrant that the Service will be uninterrupted, error-free, or free of inaccuracies, and we may add, change, suspend, or discontinue features. We will make reasonable efforts to give notice of material changes that adversely affect paying customers.
7. Fees
Where the Service is offered on a paid or subscription basis, the applicable fees, billing terms, and cancellation and refund arrangements will be set out in the order form, subscription page, or agreement under which you purchase it. Those commercial terms govern payment for the Service.
8. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, SHALL APPLY TO THE SERVICE, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEMA LOGIC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, INCLUDING ANY RELIANCE ON AI OUTPUT, LOSS OF DATA, OR THE ACTS OF THIRD-PARTY PROVIDERS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF LEMA LOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE AGGREGATE LIABILITY OF LEMA LOGIC ARISING OUT OF OR RELATING TO THE SERVICE SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY LEMA LOGIC FROM YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
10. Third-party links and services
The Service may reference or link to websites and services operated by third parties, including the AI providers described above. We do not control those third parties and are not responsible for their content or practices. Your use of a third-party service, including any provider you connect with your own API key, is governed by that third party's own terms and privacy policy.
11. Intellectual property
The Service, and all software, logos, designs, text, graphics, and other materials we provide as part of it (excluding Your Content), are the property of LEMA Logic or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you. Where components of the Service are made available under an open-source licence, that licence governs your use of those components. 12. Termination
You may stop using the Service at any time. We, or your workspace administrator, may suspend or terminate your access where these Terms are breached or where required to protect the Service or other users. Provisions that by their nature should survive termination (including Sections 3, 8, 9, 11, and 13) will survive.
13. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Isle of Man, without regard to its conflict of laws provisions, and the courts of the Isle of Man shall have jurisdiction over any dispute arising out of or relating to these Terms or the Service, save that where you use the Service as a consumer you may benefit from any mandatory protections of the law of your country of residence. Our failure to enforce any provision is not a waiver of it; if any provision is held invalid, the remaining provisions remain in effect.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here and, where changes are material, take reasonable steps to notify affected users. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.
